TERMS OF REFERENCE
Appointment of Transaction Advisor for the Proposed JV - Mouza Charahan, Angori Road, District Murree (84 Kanal, extendable up to 1,000 Kanal)
Background
FGEHA has received a private-developer proposal for a mixed-use scheme comprising residential apartments and a commercial component on 84 Kanal, extendable up to 1,000 Kanal, at Mouza Charahan, Murree. The arrangement envisages transfer of land in FGEHA's name; facilitation of applicable approvals/NOCs by FGEHA; allocation of 20% of residential apartments to eligible FGEHA members at subsidized rates; determination of FGEHA's commercial share and sustainable revenue streams; and a buy-back facility for FGEHA's quota. The developer shall bear full responsibility for design, construction, sales and project financing. The proposal is being processed under Rule 9(3) of the FGEHA (JV & PPP) Rules, 2025.
Objective
The Transaction Advisor (TA) shall independently assess commercial viability and fair consideration for FGEHA; determine/verify the subsidized price for the 20% residential quota; recommend the commercial share and sustainable revenue options; structure and document the transaction; support negotiations and approvals; and undertake post-execution monitoring. The assignment shall safeguard FGEHA against financial, construction, legal, regulatory and reputational exposure while maintaining its role as facilitator.
Scope of Services
3.1 Pre-Transaction Due Diligence: Review the proposed land-extension mechanism from 84 Kanal up to 1,000 Kanal and assess the developer's corporate standing, financial capacity, track record and litigation history.
3.2 Financial and Commercial Evaluation: Benchmark land and comparable inventory values; verify that the subsidized rate for FGEHA's 20% residential quota is a genuine market discount; determine FGEHA's commercial share, sustainable revenue options and share in transfer fees; formulate the allotment and transfer mechanism while keeping FGEHA as facilitator; test project costs, pricing, phasing, sales absorption and payment plans; conduct sensitivity analysis; and assess adequacy of the proposed consideration.
3.3 Transaction Structuring: Review the hybrid structure on the basis that FGEHA shall make no equity investment or share the developer's project risks; recommend safeguards; design and stress-test the buy-back mechanism, including triggers, pricing formula, timelines and security backing; and advise on phasing and distribution of FGEHA's residential quota and commercial share.
3.4 Legal and Regulatory Support: Draft/vet the JV Agreement and ancillary documents; confirm compliance with FGEHA's enabling law, applicable rules and policies; and identify approvals required from FGEHA's Board and other competent authorities.
3.5 Risk Assessment and Mitigation: Prepare a risk matrix covering delay, default, cost overrun, sales-absorption shortfall, title/litigation and regulatory risks, with corresponding mitigants, securities and enforcement measures; and ensure that FGEHA assumes no financial or contingent liability for the developer's obligations.
3.6 Negotiation and Approval Support: Attend and support negotiations and prepare the term sheet, summary case, approval note and briefing material for FGEHA's Board and other competent authorities.
3.7 Implementation Monitoring (Post-Execution): Establish milestone-based monitoring for foundation, structure, finishing and completion; verify compliance with approved design, building-control and quality requirements before milestone sign-off; review and certify buy-back requests and the sales/collection process for FGEHA's quota before transfer of units or benefits to beneficiaries; submit quarterly monitoring reports throughout implementation; report material adverse developments; and certify final completion and handover before allotment/possession.
Deliverables and Indicative Timeline
Phase 1: Due Diligence Report - 1 week - 5%.
Phase 2: Valuation and Feasibility Report - 2 weeks - 20%.
Phase 3: Transaction Structuring Note - 1 week - 20%.
Phase 4: Vetted JV Agreement and ancillary legal documents - 2 weeks - 15%.
Phase 5: Negotiation Support and Approval Note - ongoing until approval - 10%.
Phase 6: Quarterly monitoring reports throughout the project duration until final allotment and/or possession, whichever is applicable - 30%.
The TA shall also submit a kick-off note and work plan within one week, phase-wise presentations/reports as required, ad-hoc reports on material adverse developments, and a final completion and handover report.
