1. Background and Strategic Context
The Special Technology Zones Authority (STZA) is a statutory authority of the Government of Pakistan, established under the Special Technology Zones Authority Act, 2021, mandated to develop, operate, and regulate Special Technology Zones (STZs) across Pakistan. STZA operates under the administrative control of the Ministry of Information Technology and Telecommunication.
Islamabad Technopolis is the flagship STZ of STZA, envisaged as a world-class technology, innovation, and knowledge ecosystem to be developed through private sector participation on an approximately 140-acre site in Islamabad. A pre-feasibility assessment identified a Joint Venture (JV) as the preferred transaction model, with STZA retaining its regulatory mandate while the private sector partner is responsible for development and operations. The pre-feasibility assessment established the project’s strategic rationale and preliminary attractiveness for private investment, subject to detailed demand validation, anchor tenant development, refined land use and phasing, bankable commercial and financial structuring, and an implementable delivery strategy.
The objective of engaging a Transaction Advisor (TA) is to support STZA in taking Islamabad Technopolis from its current pre-feasibility stage to a commercially structured, market-tested, procurement-ready, and bankable public-private partnership / private sector participation (PPP/PSP) transaction. The TA shall be responsible for supporting the structuring, preparation, market validation, procurement, negotiation, and transaction execution processes required to achieve commercial close, and where applicable, financial close, for the first transaction to be undertaken under the project.
2. Objectives of the Assignment
Islamabad Technopolis is the flagship Special Technology Zone of STZA, envisaged as a world-class technology, innovation, and knowledge ecosystem to be developed through private sector participation. The project is intended to serve as a nationally significant platform for attracting high-value global and local technology investments, enabling innovation-led enterprise growth, and advancing Pakistan’s transition toward a knowledge-driven economy.
STZA intends to engage a Transaction Advisor (TA) to support Islamabad Technopolis from its current pre-feasibility stage to a commercially structured, market-tested, procurement-ready, and bankable PPP/private sector participation transaction. The core objectives of the engagement are:

The Special Conditions of Contract (SCC) shall supplement/amend the General Conditions of Contract (GCC) and shall be read together with the GCC, however, where the SCC expressly modifies, varies, or supplements any provision of the GCC, the provisions of the SCC shall prevail to the extent of such modification, variation, or supplementation.

If the Contract has duration of more than 18 months, a price adjustment provision on the remuneration for foreign and/or local inflation shall be included here. The adjustment should be made every 12 months after the date of the contract for remuneration in foreign currency and – except if there is very high inflation in the Procuring Agency’s country, in which case more frequent adjustments should be provided for – at the same intervals for remuneration in local currency. Remuneration in foreign currency should be adjusted by using the relevant index for salaries in the country of the respective foreign currency (which normally is the country of the Consultant) and remuneration in local currency by using the corresponding index for the Procuring Agency’s country. Notwithstanding any reference to the arbitration herein, the parties shall continue to perform their respective obligations under the Contract unless they otherwise agree that the Authority shall pay the Bidder any monies due to the Bidder.
Arbitrator’s fee:
The fee shall be specified in Pak Rupees, as determined by the Arbitrator, which shall be shared equally by both parties.
Appointing Authority for Arbitrator:
By the Mutual Consent or in accordance with the provisions of Arbitration Act, 1940, in case the parties fail to reach a consensus on the name of sole arbitrator, any party may submit an application to the Chief Justice Islamabad High Court for appointment of sole arbitrator. The Chief Justice IHC may appoint a former judge of any High Court or Supreme Court as the sole arbitrator to resolve the dispute between the parties.
Rules of procedure for arbitration proceedings:
Any dispute between the Authority and a Bidder who is a national of the Islamic Republic of Pakistan arising in connection with the present Contract shall be referred to adjudication or arbitration in accordance with the laws of the Islamic Republic of Pakistan including Arbitration Act 1940, however above provision shall prevail in referring the case to the Arbitrator.
Place of Arbitration and Award:
The arbitration shall be conducted in English language and place of arbitration shall be at Islamabad. The award of the arbitrator shall be final and shall be binding on the parties.
