The Authority reserves the right at any time to inspect the premises of the provider to inspect the goods and monitor the goods being provided.
A. Inspection of reclaimed Transformers shall be carried out at the Contractor’s works by the SEPCO joint Inspection Committee nominated by the Competent Authority. The Contractor shall notify Manager (M.M), SEPCO in writing when the Transformers are ready for inspection; the inspection call shall be effective upon receipt by Manager (Material Management).
A. Continued: The Contractor shall provide all necessary inspection facilities at its own cost. For inspections outside Sukkur, all expenses of the SEPCO inspection team, including air/road travel, boarding, lodging and daily allowance, shall be borne by the Contractor/Manufacturer.

C. INSPECTION AND REJECTION The Inspecting Officer may reject part or all of the consignment if it does not comply with the Work Order/Rate Contract requirements. The decision of the Inspecting Officer shall be final and binding. Rejected Transformers may be re-reclaimed and resubmitted, but such resubmission shall not extend the delivery period. Any delay due to rejection shall be the Contractor’s responsibility, and LD shall be deducted as per SCC Clause-20.
D) On final rejection, SEPCO may:a) Have the rejected Goods re-reclaimed at the Contractor’s cost.b) Terminate the Contract and recover any resulting loss.SEPCO reserves the right to re-inspect/re-test the Goods at final destination and reject them if necessary, regardless of prior inspection or approval. SEPCO’s decision based on such re-inspection/re-testing shall be final and binding on the Manufacturer/Supplier.
i. Inspection and testing of reclaimed Transformers shall be conducted at the Contractor’s premises as per specifications. The successful bidder shall bear the cost of tests conducted at authorized external laboratories, if required.ii. New Transformer oil and enameled copper wire shall be tested once during the contract period at RTL Faisalabad or a reputable laboratory, at the Contractor’s cost.
iii. Deputy Manager Regional Store SEPCO Rohri and Larkana shall issue fresh GRN for transformers damaged under warranty period if any against the rate contract and maintain up to date record as well as to avoid accumulation of damaged transformers with the firm.
Note :All reclaimed transformers shall be inspected/tested at Contractor’s premises by SEPCO/authorized Inspector. All applicable tests shall be conducted as per DDS-84:2007 (Amendment-4) and DDS-84:2020 (Amendment-5), as applicable. Contractor shall provide testing facilities/reports. Transformers shall be delivered only after passing tests and SEPCO acceptance. Failed units shall be rectified/re-tested at Contractor’s cost. All inspection/testing expenses shall be borne by Contractor.
Goods shall be properly packed as per standard export packing specified in the Technical Specifications. Each item shall bear “Sukkur Electric Power Company (SEPCO)”,Rate Contract No. and year of manufacture, along with other required markings as per specifications
The Goods shall be supplied on FCS basis (Free Consignee Stores) (at Regional Store Rohri/ Larkana) including free lifting and delivery.
i. one original plus four copies of the Supplier’s invoice showing Goods’ description, quantity, unit price, and total amount;
ii. delivery note, railway receipt, or truck receipt;
iii. Contractor or Supplier’s warranty certificate; The warranty period shall be for a period of 12 months from the date of completion of supply.
iv. Bidder shall certify that prime material is used in manufacturing. If used/scrap material or any manufacturing, design or inherent defect is found later, the Goods shall be replaced free of cost with healthy Goods. Replaced Goods shall undergo inspection as per the Technical Specifications and Contract.
v. Inspection certificate issued by the nominated inspectors/agency, and The above documents shall be received by SEPCO before the arrival of the Goods and, if not received, the Supplier will be responsible for any consequent expenses.
The Insurance shall be in an amount equal to 110 percent of the FCS value of the Goods from “warehouse” to “warehouse” on “All Risks” basis, including War Risks and Strikes.

Notwithstanding any reference to the arbitration herein, the parties shall continue to perform their respective obligations under the Contract unless they otherwise agree that the Authority shall pay the Bidder any monies due to the Bidder.
Arbitrator’s fee:
The fee shall be specified in Pak Rupees, as determined by the Arbitrator, which shall be shared equally by both parties.
Appointing Authority for Arbitrator:
By the Mutual Consent or in accordance with the provisions of Arbitration Act, 1940, in case the parties fail to reach a consensus on the name of sole arbitrator, any party may submit an application to the Chief Justice Islamabad High Court for appointment of sole arbitrator. The Chief Justice IHC may appoint a former judge of any High Court or Supreme Court as the sole arbitrator to resolve the dispute between the parties.
Rules of procedure for arbitration proceedings:
Any dispute between the Authority and a Bidder who is a national of the Islamic Republic of Pakistan arising in connection with the present Contract shall be referred to adjudication or arbitration in accordance with the laws of the Islamic Republic of Pakistan including Arbitration Act 1940, however above provision shall prevail in referring the case to the Arbitrator.
Place of Arbitration and Award:
The arbitration shall be conducted in English language and place of arbitration shall be at Islamabad. The award of the arbitrator shall be final and shall be binding on the parties.

he Bidder/Manufacturer/Approved Repairing Workshop shall have successfully completed, as the main supplier/contractor, at least two (02) contracts for the reclamation/repairing of transformers along with supporting contract award Order Or satisfactory completion certificate. In case of a Joint Venture (JV), the required experience may be demonstrated collectively by all JV partners, and the JV, as a whole, shall meet the above-mentioned experience and quantity requirements.
in case of new entrant, the tenderer should submit the copy of educational / regular purchase order issued by any DISCO along-with its completion and performance of supplied material in the light of specification / instructions / guidelines issued by Chief Engineer (D&S) NTDC Lahore letter No.3187-97 dated 20.10.2015, otherwise your firm will be considered as non-responsive.
The Bidder shall provide complete and accurate details regarding historical contract non-performance, pending litigation, and litigation history in the prescribed format given at Annex-C of the Bidding Documents.
The Bidder shall provide details of all current/ongoing contracts and outstanding commitments, if any, in the prescribed proforma of Current Contract Commitments / Contracts in Progress appended to the Bidding Documents. In case of no such contracts, the Bidder shall clearly mention “NIL” in the prescribed proforma.
The Bidder shall demonstrate sound financial capacity and sufficient net worth to successfully execute the Contract and ensure its smooth and timely completion.

The Bidder shall provide details of its average annual turnover (annual sales value) for the preceding three (03) financial years to demonstrate its financial capacity to successfully execute the Contract.
