Liquidated Damages

The Authority reserves the right at any time to inspect the premises of the provider to inspect the goods and monitor the goods being provided.
Interview of Proposed HR Personnel Prior to Induction: The proposed HR personnel shall be interviewed and assessed by the Technical Team of PPRA-PMU prior to induction. Deployment shall be subject to the approval of PPRA-PMU, and any unsuitable personnel shall be replaced by the Contractor/Firm without any additional cost to the PMU-PPRA.
Provided resources shall work at office of the PMU-EPADS.
Provided resources shall follow official timings and decorum of PMU-EPADS as decided by the Project Director.
It shall be the responsibility of the Contractor/Firm to ensure provision of the required number of qualified human resources at all times (other than casual leave of any resource).
Provided resources shall remain employees of the Contractor and will be paid by the Contractor
Provided resources shall maintain confidentiality of any classified information which may be provided to them during the course of their assignment at PMU-EPADS.
The firm/contractor shall be solely and fully responsible for ensuring compliance with all applicable labor laws and statutory requirements, including but not limited to minimum wage regulations and any other relevant statutory obligations for all deployed resources. PPRA-PMU shall not be liable or responsible in any manner for any such obligations or compliance requirements, which shall remain the exclusive responsibility of the contractor.
Casual Leave: One casual leave per month shall be allowed to each employee during the Contract period subject to prior approval from Project Director EPADS-PMU.
Replacement of HR Personnel: The Consultant/firm shall provide at least one (01) month prior written notice to PPRA-PMU before replacing any deployed HR personnel under the Contract.

The Consultant/Contractor shall ensure provision of a suitable substitute within the notice period, who shall be subject to the same interview and approval requirements as stipulated in the Special Conditions of Contract (SCC) by the Technical Team of PPRA-PMU prior to deployment.
• Initially, the contract shall remain valid for a period of three years from the date of signing. The contract period may further be extended for up to two additional terms of the same duration as the original contract, subject to satisfactory performance of the contractor and the continued service requirements of the procuring agency.
Exit Clause: PPRA may terminate the Contract for unsatisfactory performance by giving one (01) month’s written notice. The Contractor shall continue work during the notice period unless directed otherwise. Termination will not affect PPRA’s other legal rights or remedies.
PPRA reserves the right to engage resources as per requirement and to increase the number of resources up to fifteen percent (15%) of the original number of employees mentioned in the contract, subject to operational requirements and availability of funds. Payment shall be made only for the resources actually engaged and deployed by PPRA.
The selected firm/contractor shall submit invoices on a monthly basis, and PPRA shall process the payments against the submitted invoices on a monthly basis, subject to verification and approval.
PMU-EPADS may require the contractor to provide further resources. The contractor shall be bound to provide additional resources within 7 working days. The remuneration of these additional resources will be the same as provided to the existing resources. Similarly, PMU-EPADS may reduce the number of required human resources on a notice of 7 working days
The annual increase, as quoted by the supplier, shall be applicable on an annual basis, calculated from the contract signing date, including during any extension period, and shall be applied on the basis of the last drawn (withdrawn) payment amount.

Following is the guidance for Dispute Resolution
Notwithstanding any reference to the arbitration herein, the parties shall continue to perform their respective obligations under the Contract unless they otherwise agree that the Authority shall pay the Bidder any monies due to the Bidder.
Arbitrator’s fee:
The fee shall be specified in Pak Rupees, as determined by the Arbitrator, which shall be shared equally by both parties.
Appointing Authority for Arbitrator:
By the Mutual Consent or in accordance with the provisions of Arbitration Act, 1940, in case the parties fail to reach a consensus on the name of sole arbitrator, any party may submit an application to the Chief Justice Islamabad High Court for appointment of sole arbitrator. The Chief Justice IHC may appoint a former judge of any High Court or Supreme Court as the sole arbitrator to resolve the dispute between the parties.
Rules of procedure for arbitration proceedings:Â
Any dispute between the Authority and a Bidder who is a national of the Islamic Republic of Pakistan arising in connection with the present Contract shall be referred to adjudication or arbitration in accordance with the laws of the Islamic Republic of Pakistan including Arbitration Act 1940, however above provision shall prevail in referring the case to the Arbitrator.
Place of Arbitration and Award:
The arbitration shall be conducted in English language and place of arbitration shall be at Islamabad. The award of the arbitrator shall be final and shall be binding on the parties.

The Consultant/Firm shall provide a detailed monthly position-wise lump sum cost breakdown for each proposed HR resource, clearly indicating the total monthly cost against each position.
The bidder shall submit duly verified and signed CVs of all proposed human resources in the form of an annexure to the proposal. All CVs included in the annexure must be authenticated by the bidder, confirming the accuracy of the information provided and the availability of the proposed resources for the assignment.
