The licensee shall have no claim for cost or damages sustained by him due to such an order. 4. If according to findings of the Canteen Committee the standard/quality of food stuff or services is not upto the agreed terms and conditions or in violation of Inconformity with the Food Laws. d). If according to terms and conditions Licensee fails to make payments on account of utility charges consecutively for two months. e). If the contractor employ Non-security cleared staff. | |||
| PART-B LICENSEE SHALL: | |||
| 1. Provide at his own cost material, crockery, cutlery, tandoor, cooking range and service etc. according to the specifications given by the Licenser. The items shall not be removed, even If the contract is terminated/cancelled, before getting clearance certificate from the Licenser. 2. During currency of contract the rates/charges of foodstuff shall remain as per rates approved by the Surveyor General of Pakistan/Canteen Committee. 3. Provide at his own cost electric and other appliances such as, hot cases, toasters etc. These appliances will be the property of the contractor. 4. Employ a sufficient number of suitable staff, who shall be security cleared from respective agencies, free from any contagious disease and wear neat uniform while working in or outside the Cafeteria/Canteen. 5. Cater for Government employees and the visitors and charge prices which have been agreed upon. The rates of items not given in the approved list shall be fixed by the Canteen Committee. Approved rates shall be exhibited at a prominent place in the Cafeteria/Canteen. 6. Exhibit daily menu and offer for sale foodstuff, not in any manner inferior to the samples approved by the Licenser or his nominee and prepare fresh material from pure milk and vegetable ghee. 7. Be responsible for the upkeep of the premises of Cafeteria/Canteen. The Licensee shall comply with all the instructions issued by Licenser or his nominee, and shall keep in the Cafeteria/Canteen a complaint/Suggestions book, which will be inspected by a nominee of the Licenser. 8. Keep the Cafeteria/Canteen in perfect hygienic condition, neat and tidy, and shall not do or suffer to be done things likely to cause damage to the premises or to the adjacent building. 9. Not without written permission of the Licenser, make or suffer to be made any structural alterations in the premises. | |||
| 10. Pay all taxes for cases and fees chargeable in respect of the catering concern. 11. Not use the premises of Cafeteria /Canteen for residential purpose. 12. For the due performance of his obligations under this Agreement deposit with nominee of the Licenser a cash security of Rs.20,000/-(Rupees twenty thousand only) for Cafeteria which shall be liable to forfeiture in case he is unable to discharge contractual obligation as given in Part-A (4) of the contract in full or in part to be decided by the Licenser or his nominee and his decision shall be final and binding. The Licenser shall have a right to revise the amount of security as and when it deemed necessary during the period of this contract or at the time of extension of the contract. 13. Pay each month to the Licenser (in case of Cafeteria) a sum of Rs.35,000/-(Rupees five thousand only) on account of electricity and gas charges. Utility charges for the month of Ramadan will not be charged. 14. Nominate in writing within 30 days after signing this agreement his successor who will be responsible to run the affairs of Canteen/Cafeteria In case of his death or physical disability. In the event of termination of the contract due to any reason as already defined in the General Conditions of Contract, the Bidder shall be responsible for providing to the Authority the Services till the time of alternate arrangements.

Conflict of Interest:
The Procuring Agency reserves the right to determine on a case-by-case basis whether the Bidder should be disqualified from providing services due to a conflict of a nature described in Clause GCC C2.

Liquidated Damages
If the Bidder fails to provide services as required under the contract or in case of any data loss/data breach or any incident compromising the data security or other such failures related to any services, the Bidder shall pay to the Procuring Agency as Liquidated Damages at a rate of 0.10% to 5.00%Â of the Contract value, in accordance with the extent of performance failure & the cost of investigating such incidents as judged by the Authority.

Payment terms:
Payment will be made to the Bidder against the procured Goods and services according to the actual invoice or running bills submitted by the Bidder against the services provided within the time given in the conditions of the contract.

Identifying Defects:
The Authority reserves the right at any time to inspect the premises of the provider to inspect the goods and monitor the goods being provided.
For being Brand New, bearing relevant reference numbers of the equipment (Certificate from supplier)
For Physical Fitness having No Damages (Certificate from supplier)
For the Country of Origin as quoted by the Supplier (Certificate from manufacturer)
For conformance to specifications and performance parameters, through Prior to delivery inspection (Inspection Report by Procurement Committee / Inspection Team)
For successful operation at site after complete installation, testing and commissioning of the equipment (Installation, Testing and Commissioning Report by Procurement Committee / Inspection Team)
Copies of the Supplier’s invoice showing Goods’ description, quantity, unit price, and total amount;
Original and two copies of the usual transport document (for example, a negotiable bill of lading, a non-negotiable sea waybill, an inland waterway document, an air waybill, a railway consignment note, a road consignment note, or a multimodal transport document) which the buyer may require to take the goods;
Copies of the packing list identifying contents of each package;
Insurance Certificate;
Manufacturer’s or Supplier’s Valid Warranty Certificate;
Inspection Certificate issued by the Nominated Inspection Agency (if any), and the Supplier’s Factory Inspection Report;
Certificate of Origin.
The above documents would be required even if the equipment has already been imported and is available with the supplier ex-stock

Following is the guidance for Dispute Resolution
Notwithstanding any reference to the arbitration herein, the parties shall continue to perform their respective obligations under the Contract unless they otherwise agree that the Authority shall pay the Bidder any monies due to the Bidder.
Arbitrator’s fee:
The fee shall be specified in Pak Rupees, as determined by the Arbitrator, which shall be shared equally by both parties.
Appointing Authority for Arbitrator:
By the Mutual Consent or in accordance with the provisions of Arbitration Act, 1940, in case the parties fail to reach a consensus on the name of sole arbitrator, any party may submit an application to the Chief Justice Islamabad High Court for appointment of sole arbitrator. The Chief Justice IHC may appoint a former judge of any High Court or Supreme Court as the sole arbitrator to resolve the dispute between the parties.
Rules of procedure for arbitration proceedings:Â
Any dispute between the Authority and a Bidder who is a national of the Islamic Republic of Pakistan arising in connection with the present Contract shall be referred to adjudication or arbitration in accordance with the laws of the Islamic Republic of Pakistan including Arbitration Act 1940, however above provision shall prevail in referring the case to the Arbitrator.
Place of Arbitration and Award:
The arbitration shall be conducted in English language and place of arbitration shall be at Islamabad. The award of the arbitrator shall be final and shall be binding on the parties.
