TORs (Terms of Reference):
1. Background: SEPCO intends to engage a qualified SBP-approved Valuator/Firm for independent physical verification, assessment and valuation of unwanted, serviceable, un-serviceable and scrap material at Regional Stores Rohri & Larkana, including material covered under Disposal Tender Nos.1384/2026 to 1391/2026.
2. Objective: To physically verify material, examine Survey Reports, tender/store records, reconcile recorded and actual quantities, assess condition/classification, determine fair market/scrap value based on prevailing market rates, identify and separately value additional material, and submit an independent authenticated valuation report.
3. Scope of Work: The Consultant shall:
- Physically inspect and verify all relevant material at both stores.
- Verify descriptions, quantities and condition against Survey Reports, tender documents and store records.
- Conduct physical counting and weighment.
- Reconcile recorded/tender quantities with physical quantities and report shortages, excesses or variations.
- Assess condition, quality, type and usability and classify material as serviceable, un-serviceable or scrap.
- Determine fair market/scrap value using prevailing rates and reliable market references, clearly stating methodology and rate sources.
- Separately identify, assess and value additional material not covered under existing tenders.
- Prepare store-wise, item-wise and lot-wise valuation showing description, physical quantity, condition, classification, rate, value, discrepancies, methodology, assumptions and market references.
4. Locations:

5. Methodology: Consultant shall submit a methodology covering document review, inspection planning, physical verification, counting/weighment, reconciliation, condition assessment, classification, market survey, valuation and reporting. Assessment shall be independent, objective, impartial and transparent.
6. Deliverables:
a) Inspection/verification records including counting, weighment and reconciliation.
b) Draft report with findings, discrepancies and proposed valuation.
c) Final signed and authenticated valuation report, store-wise/item-wise/lot-wise, in required hard copies, editable soft copy and PDF.
7. Time Schedule: Complete assignment within 30 calendar days of Work Order. Document review/plan within 3 working days; physical inspection as per approved plan; Draft Report within 20 working days; Final Report within 30 calendar days. Clarifications/corrections shall be provided within 3 working days of SEPCO notice. Time period for completion of work may be extended with the approval of Competent Authority of SEPCO.
8. Professional Responsibility & Independence: Consultant shall use an approved team, ensure accuracy and completeness, maintain confidentiality and impartiality, immediately disclose any actual/potential/perceived conflict, and have no direct/indirect financial, commercial or beneficial interest in the material or its disposal.
9. Correction & Coordination: Consultant shall provide clarifications and correct demonstrable/clerical errors without additional fee during the contract period and coordinate with SEPCO officers for access and required records/information.
10. Confidentiality: All SEPCO records, reports, quantities, rates, valuation data, photographs and documents shall remain confidential and shall not be disclosed or used for unauthorized purposes.
11. Acceptance & Payment: Final report shall be reviewed and accepted by authorized SEPCO officers/committee. Reasonable corrections/clarifications shall be incorporated. Payment shall be made as per Contract after submission and acceptance of deliverables, prescribed invoice and completion/acceptance certificate, with verification by Dy.Manager (MM), countersignature by Manager (MM), and pre-audit by Finance Director SEPCO as per bidding document.
12. Governing Requirements: Assignment shall comply with approved TORs, Bidding Documents, PPRA requirements, SEPCO instructions and applicable laws/rules of Pakistan.This version is substantially shorter while retaining the core scope, deliverables, timelines, independence, payment and compliance requirements.

The Consultant shall be liable for errors, omissions, negligence, misconduct, misrepresentation, unauthorized disclosure, data breach or failure attributable to the Consultant or its personnel, and shall rectify such errors at no additional cost. Arbitrator’s fee:

Appointing Authority for Arbitrator:
By the Mutual Consent or in accordance with the provisions of Arbitration Act, 1940, in case the parties fail to reach a consensus on the name of sole arbitrator, any party may submit an application to the Chief Justice Islamabad High Court for appointment of sole arbitrator. The Chief Justice IHC may appoint a former judge of any High Court or Supreme Court as the sole arbitrator to resolve the dispute between the parties.
Rules of procedure for arbitration proceedings:
Any dispute between the Authority and a Bidder who is a national of the Islamic Republic of Pakistan arising in connection with the present Contract shall be referred to adjudication or arbitration in accordance with the laws of the Islamic Republic of Pakistan including Arbitration Act 1940, however above provision shall prevail in referring the case to the Arbitrator.

The Bidder/Valuation Firm shall have successfully completed at least two (02) contractsย of similar nature, supported by relevant documentary evidence, including Contract Awards/Work Orders and satisfactory Completion/Performance Certificates.
In case of a JV, the required experience may be demonstrated collectively by all JV partners.
The Bidder shall submit the duly filled Firm Performance Proforma along with relevant documentary evidence. Failure to provide the required documents shall render the Bid non-responsive.
The Bidder/Valuatorย shall provide complete and accurate details regarding historical contract non-performance, pending litigation, and litigation history in the prescribed format given at Annex-C of the Bidding Documents.
The Bidder/Valuatorย shall provide details of all current/ongoing contracts and outstanding commitments, if any, in the prescribed proforma of Current Contract Commitments / Contracts in Progress appended to the Bidding Documents. In case of no such contracts, the Bidder shall clearly mention โNILโ in the prescribed proforma.
The Bidder/Valuator shall demonstrate sound financial capacity and sufficient net worth to successfully execute the Contract and ensure its smooth and timely completion.ย
The Bidder/Valuator shall provide the required financial information and supporting details (Bank Statement/financial Audit report of Last 03 Years ) in the prescribed Financial Situation and Performance Proforma appended to the Bidding Documents, duly completed and signed.
The Bidder/Valuator shall provide details of its average annual turnover (annual sales value) for the preceding three (03) financial years to demonstrate its financial capacity to successfully execute the Contract. The required information shall be furnished in the prescribed โAverage Annual Turnover (Annual Sales Value)โ proforma appended to the Bidding Documents, duly completed and supported by relevant financial statements/documentary evidence.
